SHIPPING & PAYMENT TERMS

AQLUX L.L.C. E5ective Date: June 2026 1. General Provisions These Shipping & Payment Terms govern all deliveries, shipments and payment transactions between AQLUX L.L.C. (“AQLUX”) and its customers. These terms supplement the AQLUX Terms & Conditions, Warranty Terms & Conditions and Return & Refund Policy. By placing an order, the customer acknowledges and accepts these terms. These provisions apply to all current and future products, accessories, spare parts and services oOered by AQLUX. 2. Delivery Area AQLUX primarily provides deliveries within the Republic of Kosovo. Deliveries within Kosovo may be carried out directly by AQLUX or by transportation providers selected by AQLUX. International deliveries are only available upon prior written agreement with AQLUX. AQLUX reserves the right to refuse international orders at its sole discretion. 3. Free Delivery Within Kosovo Unless otherwise agreed in writing, deliveries within the Republic of Kosovo are provided free of charge. AQLUX reserves the right to charge additional fees for special delivery requirements, including but not limited to: • remote delivery locations, • diOicult site access, • oversized shipments, • urgent or express deliveries, • special lifting equipment, • extraordinary transportation requirements. Any applicable charges will be communicated before order confirmation. 4. International Deliveries Deliveries outside the Republic of Kosovo are available only after prior approval by AQLUX. The customer shall bear all costs associated with international shipping, including but not limited to: • transportation costs, • shipping fees, • packaging costs, • customs duties, • import taxes, • export taxes, • insurance costs, • storage fees, • handling charges, • administrative costs. The customer is solely responsible for complying with all import regulations, customs requirements and local laws applicable in the destination country. AQLUX shall not be responsible for delays, restrictions or costs caused by customs authorities or governmental agencies. 5. Delivery Times Any delivery times communicated by AQLUX are estimates only unless expressly confirmed in writing. Delivery schedules may be aOected by: • manufacturing lead times, • supply shortages, • transportation disruptions, • customs procedures, • public holidays, • governmental restrictions, • force majeure events. AQLUX shall not be liable for delays caused by circumstances beyond its reasonable control. 6. Shipment and Delivery The selection of shipping methods, carriers and transport providers shall be determined by AQLUX. AQLUX may use third-party logistics providers to fulfil delivery obligations. Partial deliveries may be made where operationally necessary and reasonable. 7. Transfer of Risk Within Kosovo For deliveries within Kosovo, the risk of accidental loss or damage transfers to the customer upon physical delivery of the goods. The customer is responsible for inspecting the goods immediately upon receipt. 8. Transfer of Risk for International Deliveries For international deliveries, risk transfers to the customer upon handover of the goods to the transportation provider, to the extent permitted by applicable law. From that moment, the customer bears all transportation risks, including: • loss, • theft, • damage, • delays, • customs issues, • transportation disruptions. AQLUX shall not be liable for damages occurring after the goods have been handed over to the carrier. 9. Inspection Upon Delivery The customer must inspect all goods immediately upon receipt. The inspection should include verification of: • completeness, • transport damage, • packaging damage, • visible defects. Any visible damage or discrepancy must be reported to AQLUX in writing within 48 hours of delivery. Failure to provide timely notice may aOect the ability to process related claims. 10. Undeliverable Shipments If delivery cannot be completed due to: • incorrect delivery information, • customer unavailability, • refusal of delivery, • failure to cooperate with customs procedures, the customer shall be responsible for any resulting costs. Such costs may include: • redelivery charges, • storage fees, • return transportation costs, • administrative expenses. 11. Payment Methods AQLUX currently accepts payment by: • Bank Transfer AQLUX reserves the right to introduce additional payment methods in the future. Customers have no entitlement to a specific payment method. 12. Advance Payment Unless otherwise agreed in writing, full payment must be received before shipment of the goods. AQLUX reserves the right to suspend order processing until payment has been received in full. 13. Retention of Title All goods remain the property of AQLUX until full payment has been received. Until ownership passes to the customer, the goods may not be pledged, transferred as security or otherwise encumbered. The customer must immediately notify AQLUX of any third-party claims against the goods. 14. Late Payment In the event of delayed payment, AQLUX reserves the right to: • suspend deliveries, • suspend pending orders, • refuse further services, • initiate legal proceedings, • seek compensation for losses permitted by law. Any additional legal rights remain unaOected. 15. Force Majeure AQLUX shall not be liable for delays or failures caused by events beyond its reasonable control. Such events include, but are not limited to: • natural disasters, • floods, • earthquakes, • fires, • pandemics, • war, • terrorism, • civil unrest, • governmental actions, • strikes, • infrastructure failures, • transportation disruptions. During such events, AQLUX’s obligations may be suspended for the duration of the disruption. 16. Future Products and Services These Shipping & Payment Terms shall automatically apply to all current and future products, technologies, accessories, systems and services oOered by AQLUX. 17. Severability Clause Should any provision of these Shipping & Payment Terms be found invalid or unenforceable, the remaining provisions shall remain valid and enforceable. 18. Governing Law and Jurisdiction These Shipping & Payment Terms shall be governed exclusively by the laws of the Republic of Kosovo. To the extent permitted by law, the competent courts of Ferizaj, Republic of Kosovo, shall have exclusive jurisdiction over disputes arising out of these Shipping & Payment Terms. AQLUX L.L.C.
